FREQUENTLY ASKED QUESTIONS
What are the requirements for a Voluntary Strike Off in Ireland?
To apply for a Voluntary Strike Off (VSO), your company must meet specific criteria set out by the Companies Registration Office (CRO). Primarily, the company must have ceased trading (or never traded) and have no assets or liabilities exceeding €150.
Additionally, all annual returns and tax filings must be fully up to date with both the CRO and Revenue.
Once these conditions are met, the directors must pass a special resolution to dissolve the company within three months of the application.
How long does the company strike off process take?
The entire process generally takes between 6 to 9 months to complete. After submitting the initial request to Revenue for a ‘Letter of No Objection’, it typically takes several weeks to receive a response.
Once the formal application (Form H15) is lodged with the CRO, a notice is published in the CRO Gazette.
There is then a statutory 90-day waiting period to allow for any objections from creditors or third parties before the company is officially dissolved.
Is a Letter of No Objection from Revenue mandatory?
Yes, a Letter of No Objection is a critical requirement for a successful Voluntary Strike Off.
Before the CRO will process your application, you must demonstrate that the company has no outstanding tax liabilities.
This involves ensuring all relevant tax heads (such as Corporation Tax, VAT, and PAYE/PRSI) are closed and final returns are filed.
The letter issued by Revenue is valid for a period of three months, so it is vital to coordinate your CRO filing within this timeframe.
What is the difference between Involuntary Strike Off and Voluntary Strike Off?
A Voluntary Strike Off is a proactive, compliant way for directors to close a company that is no longer needed. In contrast, an Involuntary Strike Off occurs when the CRO removes a company from the register due to defaults, such as failing to file annual returns.
While Involuntary Strike Off might seem like an easy way to let a company lapse, it carries significant risks, including the loss of limited liability protection and the potential for directors to be disqualified from acting as a company officer in the future.
